Information published on our website is general information about our company and services.

A website description does not constitute a binding commitment to provide any particular service, functionality, deliverable, result, or implementation.

When we provide services to a customer, the applicable written proposal, statement of work, order, master services agreement, or other written agreement may establish the specific scope of work and commercial terms.

If a written agreement conflicts with these Terms with respect to a specific service, the written agreement will control to the extent of the conflict.

4. Proposals and Estimates

Any pricing, estimates, project descriptions, timelines, or other information provided through the website or during preliminary discussions may be subject to change until confirmed in a written agreement.

Unless expressly stated otherwise in a written agreement, estimates and preliminary discussions do not constitute a binding commitment to perform services.

5. Customer Responsibilities

As between Demolition Age Agro and the customer, the customer generally retains its rights in customer-provided data and materials.

We may process customer information as reasonably necessary to provide the contracted services, maintain systems, provide support, comply with legal obligations, maintain security, and perform other activities authorized by the applicable agreement.

Where appropriate, additional confidentiality, security, data-processing, or privacy terms may be established in a separate written agreement.

7. Software and Technology Services

Our services may involve the design, development, configuration, integration, testing, maintenance, or support of software and technology systems.

Technology services may depend on third-party infrastructure, operating systems, APIs, cloud platforms, network connectivity, hardware, sensors, data sources, and other systems outside our control.

Unless expressly agreed in writing, we do not guarantee that third-party systems will remain available, compatible, unchanged, secure, or functional.

Changes to third-party technology may require modifications to an integration or other services and may result in additional work or fees where provided for under the applicable agreement.

8. Artificial Intelligence and Automated Systems

Our services may incorporate artificial intelligence, machine learning, predictive analytics, automation, statistical models, or similar technologies.

AI-generated or automated outputs may contain errors, omissions, inaccuracies, or limitations and should be reviewed by the customer before being relied upon for important decisions.

Our technology is intended to support business and operational processes and does not constitute professional legal, medical, financial, accounting, engineering, agricultural, safety, or other regulated professional advice unless expressly stated in a separate written agreement and provided by appropriately qualified professionals.

Customers remain responsible for evaluating outputs and determining whether they are appropriate for their particular circumstances.

9. No Guarantee of Results

We will use commercially reasonable efforts to provide services in accordance with the applicable written agreement.

However, technology projects can depend on numerous factors outside our control, including customer systems, third-party services, connectivity, hardware, data quality, environmental conditions, changes in technology, and customer requirements.

Except as expressly provided in a written agreement, we do not guarantee that our services will produce a particular business, agricultural, financial, operational, production, cost-saving, or other result.

10. Agricultural and Operational Information

Our technology and analytics services may assist customers with monitoring, analysis, automation, reporting, and operational workflows.

Information, analytics, predictions, dashboards, alerts, recommendations, or other outputs provided through our services are intended as technology and informational tools.

Customers remain responsible for their own operational decisions and for evaluating information in the context of their specific operations.

We do not guarantee crop yields, production levels, cost reductions, environmental conditions, equipment performance, or other agricultural outcomes unless expressly provided in a written agreement.

11. Intellectual Property

The website and its contents, including text, graphics, logos, designs, software, documentation, and other materials provided by Demolition Age Agro, are owned by or licensed to Demolition Age Agro and are protected by applicable intellectual property laws.

Except as expressly permitted by these Terms or a separate written agreement, you may not copy, reproduce, modify, distribute, publicly display, publish, sell, license, or create derivative works from our proprietary website materials.

Unless otherwise agreed in writing, each party retains ownership of intellectual property it owned before entering into a service relationship.

Ownership of custom-developed work product, software, documentation, configurations, or other deliverables will be governed by the applicable written agreement.

12. Feedback

If you voluntarily provide suggestions, recommendations, ideas, comments, or other feedback regarding our website or services, you authorize us to use that feedback for legitimate business purposes without compensation, provided that doing so does not disclose your confidential information.

13. Third-Party Services

Our services and website may reference or integrate with third-party products, platforms, software, APIs, cloud services, hardware, or websites.

Third-party services are provided and controlled by their respective providers.

We are not responsible for the availability, functionality, security, policies, or performance of third-party services that are outside our reasonable control.

Your use of third-party services may be subject to separate terms and privacy policies established by those providers.

14. Payments and Commercial Transactions

Where payment is required for services, applicable fees, payment schedules, taxes, expenses, and other commercial terms will be established in the applicable proposal, order, invoice, statement of work, or written agreement.

Payments may be processed through third-party payment processors or financial institutions.

We do not provide banking, lending, money transmission, investment, securities, insurance, or other financial services.

Any payment-processing services used in connection with our business are provided for ordinary commercial transactions relating to our products and services.

15. Taxes

Unless otherwise stated in a written agreement, customers are responsible for applicable taxes, duties, or governmental charges associated with their purchases or use of services, except for taxes imposed on Demolition Age Agro's net income.

16. Confidentiality

Each party may receive confidential or proprietary information from the other in connection with a business relationship.

The parties may be subject to separate confidentiality obligations established by contract.

Nothing in these Terms requires either party to disclose confidential information except as permitted or required by applicable law or an applicable written agreement.

17. Security

We maintain reasonable security measures appropriate to the nature of the systems and information involved in our services.

However, no internet-connected system, software application, network, or method of electronic transmission can be guaranteed to be completely secure.

Customers are responsible for maintaining appropriate security practices for their own systems, accounts, devices, credentials, networks, and data.

18. Website Availability

We may modify, suspend, discontinue, or restrict portions of the website from time to time for maintenance, security, technical, operational, or business reasons.

We do not guarantee that the website will always be available, uninterrupted, error-free, or compatible with every device or browser.

  • Your violation of these Terms.
  • Your violation of another person's rights.
  • Materials or data that you provide to us and that you do not have the right to provide.

We may suspend or terminate access to the website or services where reasonably necessary due to security concerns, unlawful activity, violation of these Terms, nonpayment, legal requirements, or other legitimate business reasons.

Termination of a particular service engagement will be governed by the applicable written agreement.

Provisions that by their nature should survive termination, including intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, and dispute-related provisions, will survive as applicable.

23. Dispute Resolution

Before commencing formal legal proceedings concerning a dispute arising from these Terms or our services, the parties should make reasonable efforts to resolve the dispute through good-faith business discussions.

We may update these Terms from time to time to reflect changes in our website, services, business practices, technology, or legal requirements.

When we update these Terms, we will update the "Last Updated" date above.

Your continued use of the website after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

For existing customer engagements, the applicable written agreement will govern where it conflicts with subsequently posted website Terms.

26. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in effect to the extent permitted by law.

27. No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision or any other provision later.

28. Entire Agreement

These Terms constitute the general terms governing use of our website.

For customers receiving services from Demolition Age Agro, a separate written proposal, statement of work, service agreement, order, or other written agreement may contain additional or different terms governing the specific engagement.
